Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Customer”, or “you”) and MaxiAI (Pty) Ltd (“MaxiAI”, “we”, “us”, or “our”), governing your access to and use of the website located at maxiai.co.za, any associated web applications, software, platforms, tools, and related services (collectively, the “Services”).

By accessing, browsing, registering for, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue use of the Services.

2. Eligibility & Account Registration

To access and use certain features of the Services, you may be required to register for an account. By creating an account, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction, with full legal capacity to enter into these Terms.
  • If you are entering into these Terms on behalf of an organization or legal entity, you have the authority to bind that organization to these Terms.
  • All registration information provided by you is accurate, truthful, current, and complete.
  • You are responsible for maintaining the confidentiality and security of your login credentials and are solely responsible for all activities occurring under your account.
  • You will promptly notify MaxiAI of any unauthorized use or security breach involving your account.

3. Use of Services & License

Subject to your ongoing compliance with these Terms, MaxiAI grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Services for your lawful personal or internal business purposes.

You agree not to modify, adapt, copy, distribute, license, sell, reverse-engineer, decompile, or create derivative works based on any portion of the Services, except as permitted by applicable mandatory law.

4. User Content & Intellectual Property

Your Content: You retain full ownership of any data, documents, files, text, queries, or materials you upload, submit, or process through the Services (“User Content”). You grant MaxiAI a limited license to host, store, process, and transmit your User Content solely to provide, maintain, and secure the Services on your behalf.

MaxiAI Intellectual Property: All rights, title, and interest in and to the Services—including all software, user interfaces, branding, trademarks, logos, visual designs, code, algorithms, and documentation—belong exclusively to MaxiAI (Pty) Ltd and its licensors. No ownership rights are transferred to you under these Terms.

5. Prohibited Conduct & Acceptable Use

When using the Services, you agree NOT to:

  • Violate any local, national, or international statute, regulation, or legal obligation.
  • Infringe upon or misappropriate the intellectual property, privacy, or proprietary rights of any third party.
  • Transmit, upload, or inject viruses, malware, trojans, worms, or any malicious or harmful code.
  • Attempt to probe, scan, test, bypass, or breach any security or authentication measures of the Services or connected infrastructure.
  • Use automated bots, web scrapers, spiders, or crawlers to access or index the Services without prior written authorization.
  • Interfere with, overload, flood, or disrupt the integrity or performance of the Services or associated networks.
  • Engage in unlawful, abusive, threatening, harassing, or fraudulent activities.

6. Subscriptions, Fees & Billing

Certain features, plans, and workspace capacities within the Services require payment of subscription fees or usage credits:

  • Payment Terms: You agree to provide valid, authorized payment details and authorize MaxiAI (or its designated payment processors) to charge the applicable fees and taxes on a recurring or transactional basis according to your selected plan.
  • Recurring Billing: Subscription plans will automatically renew at the conclusion of each billing period (e.g., monthly or annually) unless you cancel your subscription prior to the renewal date via your account settings.
  • Price Changes: We reserve the right to modify pricing or fee structures upon providing reasonable advance notice. Continued use of the Services following notice constitutes acceptance of the revised fees.

7. Refund Policy — Strict No Refunds

All sales, subscriptions, credit purchases, and payments made to MaxiAI are final and strictly non-refundable.

Due to the immediate provisioning of digital software access, dedicated cloud infrastructure, and underlying computing capacity upon purchase, MaxiAI enforces a strict no-refund policy:

  • No Full or Partial Refunds: We do not offer refunds, credits, or fee adjustments under any circumstances, including for partially used billing cycles, unused features, unused platform credits, service downgrades, or account cancellations.
  • Cancellation Effect: You may cancel your subscription at any time through your account dashboard. Upon cancellation, your subscription will remain active until the end of the current paid billing period, after which it will not renew. No refund or prorated credit will be issued for the remainder of that period.
  • Disputed Charges: If you believe a billing error has occurred, you must notify us within fourteen (14) days of the charge so we can investigate. Filing an unjustified chargeback without contacting us may result in immediate account suspension.

8. Account Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without prior notice, if we reasonably determine that you have violated these Terms, failed to pay applicable fees, or engaged in conduct that harms MaxiAI, other users, or third parties.

You may terminate your account at any time by following the cancellation steps in your account settings or by contacting customer support. Upon termination, your right to access the Services ceases immediately.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

MAXIAI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR COMPLETE, OR THAT DEFECTS WILL BE TIMELY CORRECTED. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAXIAI (PTY) LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

IN ALL CASES, MAXIAI’S AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO MAXIAI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless MaxiAI (Pty) Ltd and its directors, officers, employees, and contractors from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your use of the Services, your User Content, or your violation of these Terms.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of laws principles. You agree to submit to the exclusive jurisdiction of the competent courts in the Republic of South Africa for the resolution of any dispute or claim arising hereunder.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page. Your continued use of the Services after such changes are posted constitutes your binding agreement to the updated Terms.
